“资产注入”通常是上市公司的大股东把自己的资产出售给上市公司。原则上注入的资产应该质量较高、盈利能力较强、与上市公司业务关联比较密切,这样有助于提升上市公司业绩,所以市场反应会提升股价。同时也可能是上市公司发起人（自然人或公司）的另外一些非上市的资产注入到上市公司中去,如某上市公司发起人其共有3家公司但只有其中一家公司上市,现发起人可把剩下的两家未上市的公司的资产注入到上市公司去,但注入前需通过相应的法律法规和股东大会表决。
